By accessing or using the AILeyTech platform and services, you agree to be bound by these Terms of Service. If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these terms.
AILeyTech provides AI accountability, decision evidence, incident narrative, voice agent intelligence, and readiness dashboard services. Our platform helps organizations document, explain, and defend AI-assisted decisions. Services are provided on a subscription basis as described in your order form or pricing plan.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these terms.
You retain all rights to the data you submit to our platform ('Your Data'). You grant AILeyTech a limited license to process Your Data solely to provide the services. We will not access, use, or share Your Data for any purpose other than delivering and improving the services, unless required by law. Evidence packs and audit data generated by the platform are considered Your Data.
You agree not to: (a) use the services for any unlawful purpose; (b) attempt to gain unauthorized access to our systems; (c) interfere with or disrupt the services; (d) reverse engineer, decompile, or disassemble any part of the platform; (e) use the services to store or transmit malicious code; (f) resell or redistribute the services without written consent.
We commit to 99.9% uptime for Professional plans and 99.99% uptime for Enterprise plans, measured monthly. Scheduled maintenance windows are excluded. If we fail to meet the applicable SLA, you may be eligible for service credits as described in your order form.
AILeyTech retains all intellectual property rights in the platform, services, documentation, and any derivative works. Your use of the services does not grant you any ownership rights in our technology. Feedback and suggestions you provide may be used by AILeyTech to improve the services without obligation.
Both parties agree to maintain the confidentiality of non-public information exchanged in connection with these terms. This includes, but is not limited to, technical specifications, business strategies, pricing, and customer data. Confidentiality obligations survive termination for 3 years.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AILEYTECH'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless AILeyTech from claims arising from: (a) your use of the services in violation of these terms; (b) your violation of applicable laws or regulations; (c) any third-party claims related to Your Data.
Either party may terminate these terms with 30 days written notice. We may suspend services immediately for material breach or non-payment. Upon termination, you may request export of Your Data within 30 days. After that period, Your Data will be deleted according to our data retention policy.
We may update these terms from time to time. Material changes will be communicated with at least 30 days notice via email or prominent notice on our platform. Continued use of the services after changes take effect constitutes acceptance of the updated terms.
These terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes arising from these terms shall be resolved in the state or federal courts located in Delaware.
